1. Agreement to Official Rules

By entering or participating in the Sweepstakes, you accept and agree to be bound by these Official Rules.

2. Eligibility

The Sweepstakes is open to legal residents of the fifty (50) United States and the District of Columbia who are eighteen (18) years of age or older at the time of entry (or the age of majority in their jurisdiction of residence, whichever is older).

The following individuals are not eligible to enter:

• Any individual (including employees, consultants, independent contractors, and interns) who has, within the past six (6) months, performed services for Sponsor or any Sweepstakes Entity.
• Immediate family members of such individuals, defined as parents, step-parents, children, step-children, siblings, step-siblings, or spouses, regardless of where they live.
• Household members of such individuals, defined as people who share the same residence at least three (3) months a year, whether related or not.

You may enter during the Entry Period via the following methods:

4. Prize Drawing / Selection of Winner / Odds

One (1) potential Grand Prize Winner and up to five (5) Alternate Winners will be selected from all eligible entries in a random drawing to be held approximately seven (7) days after the end of the Entry Period. The drawing will be conducted by independent persons or a computer program and the random selection is binding and final.

The odds of winning depend on the total number of eligible entries received during the Entry Period.

6. Notification of Winners

The Winner will be notified by email within five (5) business days of the prize drawing and must sign and return any required affidavit of eligibility and publicity/liability release. If a selected Winner cannot be contacted, is ineligible, fails to claim a prize, or does not return the required documents within the timeframe specified in the notification (or thirty (30) days, whichever comes first), the prize may be forfeited and an Alternate Winner selected.

In the event of a dispute regarding the identity of any entrant, the entry will be deemed submitted by the natural person who is the Authorized Account Holder of the email address specified in the entry. "Authorized Account Holder" is defined as the natural person assigned to an email address by an Internet access provider, online service provider, or other organization responsible for assigning email addresses for the relevant domain.

7. Limitation of Liability

The Sweepstakes Entities are not responsible or liable for:

• Entries submitted by illegitimate or automated means, or entries in excess of any stated limit.
• Lost, late, incomplete, illegible, or misdirected entries, emails, or correspondence.
• Errors, omissions, interruptions, defects, or delays in transmission or communication.
• Viruses, technical or mechanical malfunctions, or failures of electronic equipment, hardware, or software.
• Lost or unavailable network connections, or failed, incorrect, or delayed electronic communications.
• Any human or mechanical interference in the administration of the Sweepstakes or processing of entries.

The Sweepstakes Entities are also not responsible for electronic communications that are undeliverable due to active or passive filtering, insufficient inbox space, or if entrant's contact information does not work or is changed without prior written notice to Sponsor.

8. Release and Indemnity

By entering the Sweepstakes, each entrant agrees to release, indemnify, and hold each of the Sweepstakes Entities — as well as their respective officers, directors, employees, agents, representatives, successors, and assigns — harmless from any and all actions, claims, injury, loss, or damage arising in any manner, directly or indirectly, from participation in this Sweepstakes or any related activity or travel, and/or acceptance, receipt, possession, or use or misuse of a prize, including any injury, damage, death, illness, loss, or accident to persons or property.

9. Additional Conditions

Sponsor reserves the right, in its sole discretion, to terminate, modify, or suspend the Sweepstakes in whole or in part if:

• The Sweepstakes is not capable of running as planned due to events beyond Sponsor's control, including but not limited to fire, flood, epidemic, pandemic, earthquake, explosion, labor dispute, act of God or public enemy, communications or equipment failure, riot, civil disturbance, terrorist threat or activity, war, or any government law, order, or regulation.
• Any other factors beyond Sponsor's reasonable control corrupt or affect the administration, security, fairness, integrity, or proper conduct of the Sweepstakes.

Sponsor also reserves the right to disqualify any entrant or Winner at its sole discretion, in all instances without liability to entrants.

10. Governing Law and Choice of Forum

These Official Rules are governed by the laws of the State of California, without reference to rules governing choice of laws. Any action, suit, or case arising out of or in connection with this Sweepstakes or these Official Rules must be brought in the federal courts located in the Northern District of California or the state courts located in Santa Clara County, California.

11. Publicity

Except where prohibited, by participating in the Sweepstakes, the Winner consents to the use of their name(s), photos, and/or likeness, biographical information, entry, and statements attributed to the Winner (if true) for advertising and promotional purposes — including inclusion in Sponsor's newsletters, official social media accounts, the Sweepstakes website at blackore.ai/aicpa-engage-2026, and Sponsor's homepage at blackore.ai — without additional compensation.

12. Personal Information

Sponsor may collect personal data about entrants online, in accordance with its privacy notice and as may be more specifically set forth in these Official Rules. Please review Sponsor's privacy notice at blackore.ai/privacy-policy.

13. Winner List

For the name of the prize Winner, once available, send a stamped, self-addressed envelope to the address below, or send an email to info@blackore.ai with "Winners List" as the subject line and the Sweepstakes name in the body. Requests must be received within six (6) months of the end of the Entry Period.
